These Terms of Service ("Terms") govern your access to and use of the Novu platform at novuai.co. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Description of Service

Novu provides an AI workforce management platform that allows businesses to deploy autonomous AI agents for sales, marketing, customer support, and operations tasks. The service is provided on a subscription basis with a free trial period.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organisation. By using the service, you represent that you meet these requirements.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorised access to your account.

4. Free Trial and Subscriptions

New accounts receive a 14-day free trial with no credit card required. At the end of the trial, your AI agents will be paused and your data preserved for 30 days. To continue using the service, you must subscribe to a paid plan.

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in these Terms. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use Novu to:

Send unsolicited bulk email (spam) or engage in deceptive outreach practices
Violate any applicable law, regulation, or third-party rights
Attempt to circumvent rate limits, security controls, or access restrictions
Reverse-engineer, decompile, or extract the underlying AI models or infrastructure
Resell or sublicense access to the platform without our written consent
Generate content that is illegal, harmful, defamatory, or violates third-party intellectual property rights

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. AI-Generated Content

The AI agents on Novu generate content autonomously based on your instructions. You are solely responsible for reviewing, approving, and taking responsibility for any content your agents produce or send on your behalf. Novu does not guarantee the accuracy, completeness, or legality of AI-generated content.

7. Data Ownership

You retain ownership of all data you input into the platform, including business profiles, leads, and agent configurations. By using the service, you grant us a limited licence to process this data solely to provide the service. We do not use your data to train AI models for other customers.

8. Intellectual Property

Novu and its licensors own all rights in the platform, including software, design, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to use the service as described herein.

9. Limitation of Liability

To the maximum extent permitted by law, Novu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the service.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that results obtained will be accurate or reliable.

11. Indemnification

You agree to indemnify and hold harmless Novu and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the service ceases immediately. We will delete your data within 30 days of account closure, except where retention is required by law.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts located in Delaware.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the service after changes constitutes acceptance of the revised Terms.
